Terms of Service

Balance is a digital platform designed to help users align their goals, habits, and life priorities through AI-powered recommendations, contextual insights, and scheduling tools. These Terms establish the legal agreement between you and Balance with respect to your use of the Services.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Balance. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To use certain features, you must create an account by providing accurate information and maintaining its security.

You are responsible for all activity under your account and for safeguarding your login credentials.

If you sign in using a third-party service (e.g., Google OAuth), you authorize us to access basic information from that account consistent with our Privacy Policy.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Copy, modify, distribute, sell, or lease any part of the Services;
• Attempt to reverse-engineer, decompile, or extract source code;
• Access or use the Services in a manner that could damage, disable, or overburden our systems;
• Use the Services to transmit spam, malware, or harmful content; or
• Interfere with or circumvent any security or access-control mechanism.

We reserve the right to suspend or terminate your access if you violate these Terms.

All content, trademarks, software, features, and functionality on the Services are owned by or licensed to Balance and are protected by applicable copyright, trademark, and other laws.

You retain ownership of any content you submit or upload ("User Content"), but grant Balance a worldwide, non-exclusive, royalty-free license to host, display, and use that content solely for the purpose of operating and improving the Services.

Balance may generate insights, recommendations, or text through artificial-intelligence systems. These outputs are provided for informational purposes only and do not constitute professional, medical, legal, or financial advice. You are solely responsible for decisions made based on AI-generated content.

Some features of the Services may be available only through paid plans.

• Billing: Subscriptions renew automatically unless canceled before the renewal date.
• Cancellation: You may cancel at any time through your account settings.
• Refunds: Refunds are handled in accordance with applicable law and platform policies.

We may change pricing or plan features with prior notice.

The Services may integrate with third-party APIs or products (e.g., Google Calendar, Backblaze B2, Stripe). Your use of those integrations is subject to the third-party's own terms and privacy policies.

We are not responsible for any acts or omissions of third-party providers.

Your use of the Services is governed by our Privacy Policy, which describes how we collect, use, and safeguard your data.

By providing your mobile phone number and expressly opting in, you agree to receive SMS text messages from Balance Life Design related to your account and use of the Services.

Message frequency varies. Message and data rates may apply.

You can cancel SMS notifications at any time by replying STOP. For help, reply HELP or contact ben@balancelifedesign.com.

Consent to receive SMS messages is not a condition of purchasing any goods or services.

You may stop using the Services at any time.

We may suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users or to Balance.

Upon termination, your right to use the Services ceases immediately, but Sections 5 (Intellectual Property), 9 (Data & Privacy), 11 (Disclaimers), 12 (Limitation of Liability), and 13 (Indemnification) will survive.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

Balance disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, Balance and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to your use of the Services.

Our total liability for any claim shall not exceed the amount you paid (if any) to use the Services during the six months preceding the event giving rise to liability.

You agree to defend, indemnify, and hold harmless Balance and its affiliates, officers, agents, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

We may modify these Terms from time to time. When we do, we will update the "Last Updated" date above.

Material changes will be communicated through the Services or via email.

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
